By accessing this site and/or our app, registering for, purchasing, or participating in any THE•IS  offering, including live classes, recorded content, workshops, series, retreats, trainings, memberships, class packs, or drop in passes, you agree to these Terms and Conditions. These Terms are intended to create clarity, mutual respect, safety, and ease for all participants within the THE•IS  community.

OVERVIEW

THE•IS  provides virtual and in person wellness offerings that may include breathwork sessions such as Elemental Rhythm and facilitator created modalities, somatic practices, meditation, visualization, movement, sound based release, energetic and quantum awareness exercises, live virtual classes and workshops, recorded libraries of breathwork and meditation, memberships, class packs, single session registrations, facilitator trainings, mentorships, and retreats (herein referred to as offerings) hosted online or in person. All offerings are educational and experiential in nature and are not medical, psychiatric, psychological, legal advice or clinical treatment.

USER ACCOUNTS/ELIGIBILITY

To register for any THE•IS  offering, you must be at least 18 years of age or have documented parental or legal guardian consent. You agree to provide accurate and current account information, to maintain the confidentiality of your login credentials, and to use the platform only for lawful and personal purposes. You agree to notify THE•IS  promptly if you suspect unauthorized access to your account.

PAYMENT TERMS

By enrolling in any THE•IS  offering, you authorize THE•IS  to charge your selected payment method for applicable fees, including drop-in classes, class packs, memberships and renewals, workshops, series, retreats, trainings, and any applicable no-show fees. All prices are listed in USD (United States dollars) and may be updated periodically. Payments are processed securely through Recess and Stripe.

REFUND POLICY

There are no refunds.

LIABILITY WAIVER & ASSUMPTION OF RISK

By accessing or participating in any THE•IS  offering, you acknowledge that participation is voluntary and that you are responsible for your own physical, mental, emotional, and energetic well-being during and after participation. You understand that THE•IS  offerings involve experiential practices that may produce physical or emotional responses, including dizziness, tingling, emotional release, altered states of awareness, or fatigue.

You knowingly and voluntarily assume all risks associated with participation, whether known or unknown. To the fullest extent permitted by law, you release and hold harmless THE•IS and its owners, facilitators, employees, contractors, partners, and affiliates from any and all claims, demands, damages, injuries, losses, or liabilities arising from or related to your participation.

You acknowledge that THE•IS  provides educational and experiential wellness practices only and does not provide medical, psychiatric, psychological, or clinical treatment. Participation does not replace professional medical or mental health care.

HEALTH DISCLAIMER  & EXPECTATIONS

You acknowledge that you are responsible for assessing your own physical, emotional, mental, and energetic readiness to participate in THE•IS  offerings. You agree to create and maintain a safe environment for participation and to engage only when you can give full attention and awareness to the practices. You agree not to participate while driving, operating machinery, or otherwise impaired in attention or awareness. You further agree to refrain from participating under the influence of drugs or alcohol.

You understand that you are responsible for seeking appropriate medical, psychological, or mental health support outside THE•IS  when necessary.

CANCELLATIONS, EXPIRATIONS AND REFUND POLICY

Registrations, memberships, class packs, drop-in passes, workshops, and special events are subject to THE•IS  cancellation, expiration, and no-refund policies. Live classes must be canceled at least twelve hours before the scheduled start time to avoid loss of credit or applicable no-show fees. Late cancellations, missed sessions, unused time, and partial membership periods are non-refundable.

Class packs and drop-in passes expire six (6) months from the date of purchase unless otherwise stated in writing at the time of purchase. Expired or unused classes are forfeited and are not eligible for refund, extension, or credit. Technology issues do not constitute grounds for a refund.

MEMBERSHIP TERMS

THE•IS  memberships include unlimited access to live classes and the full recording library during the active membership period. Memberships require a minimum (3) three-month commitment and automatically renew every month following the initial commitment period unless canceled in writing before the next billing cycle. No refunds are issued for partial months or unused time. Members who reserve a live class and fail to attend without canceling in accordance with the cancellation policy will be charged a twenty-dollar ($20 USD) no-show fee.

THE•IS  offers a twenty percent (20%) discount on qualifying offerings for veterans, first responders, and students with valid verification.

MEDIA CONSENT, RECORDINGS and TESTIMONIALS

By participating in live or recorded THE•IS  offerings, you understand and agree that sessions may be recorded for educational or commercial purposes. Facilitator audio is intentionally preserved and participants may be seen and/or heard and written consent may also be visible. Your participation constitutes consent to incidental audio or visual appearance in recordings that may be used in future offerings, educational materials, testimonials, or promotional content without compensation or notification.

You may have the opportunity to provide content or materials ("Your Content") such as comments and/or testimonials through various communication methods, including through any method of recording (whether written, provided in photographs, audio or video). By submitting Your Content, you grant Us a non-exclusive, perpetual, royalty-free, worldwide, assignable, transferrable right and license to reproduce, display, perform, transmit, modify, publish, create derivative works from, and otherwise use Your Content in any formats or media now known or hereafter devised. This usage is in connection with our promotion of products, events or services without any compensation or notification.

TECHNOLOGY REQUIREMENTS

Participation in THE•IS  offerings requires reliable internet access, compatible devices, and a safe physical environment. THE•IS  is not responsible for internet outages, device or software issues, platform maintenance, or downtime. Technology related disruptions are unforeseen do not qualify for refunds or credits.

INTELLECTUAL PROPERTY

All THE•IS  content, including recordings, scripts, meditations, breathwork practices, exercises, sequences, written materials, images, branding, and educational resources, is the proprietary intellectual property of THE•IS. Content is licensed for personal, non-commercial use only. You agree not to copy, distribute, share, reproduce, teach, resell, or repurpose THE•IS  content in any form without express written permission.

CODE OF CONDUCT

THE•IS  is committed to maintaining a respectful, supportive, and grounded environment. You agree to engage respectfully with facilitators and participants and to refrain from harassment, discriminatory behavior, or disruptive conduct. THE•IS  reserves the right to suspend or terminate access to offerings or the platform for violations of this code of conduct.

LIMITATION OF LIABILITY & INDEMNIFICATION

To the fullest extent permitted by law, providers and its owners, facilitators, employees, contractors, partners, and affiliates are not liable for injuries, adverse physical or emotional effects, energetic responses, technology failures, loss of access, loss of data, or misuse of the platform or content.

In no event will provider be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in connection with user access, use or inability to access or use the THE•IS website or offerings.

You agree to defend, indemnify and hold provider harmless, provider’s successors and assigns, affiliates, from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneys’ fees and costs, arising out of any breach by user of any of these terms, any obligation, warranty, representation or covenant set forth herein, or any use by user of the THE•IS website or offering.

User agrees to shall provide assistance, without charge, as provider may request, in connection with any such defense, including, without limitation, providing such information, documents, records and reasonable access to you, as provider deems necessary. You shall not settle any third party claim or waive any defense without provider’s prior written consent.

You agree that, notwithstanding any damages that You might incur, the entire liability of the THE•IS under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You, and if no purchase has been made by you, provider’s cumulative liability to You shall not exceed $100.00 USD (one-hundred United States Dollars).

To the maximum extent permitted by applicable law, in no event shall provider be liable for any direct, indirect, incidental special, or consequential damages whatsoever.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, meaning some of the above limitations may not apply. In such an instance, each party's liability will be limited to the extent permitted by law.

GOVERNING LAW, SEVERABILITY & DISPUTE RESOLUTION

These Terms and Conditions are governed by the laws of the State of Florida, St. John’s County, in the United States.

If any provision of these terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

If you, the user, have any concern or dispute about the provider’s offerings, You agree to first try to resolve the dispute informally by contacting the provider via email.

The exclusive venue for any arbitration or court proceeding based on or arising out of these Terms shall be St. John’s County, Florida, United States. The parties agree to attempt to resolve any potential dispute, claim or controversy arising out of or relating to any breach of these Terms by mediation. The parties further agree that their respective good faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration or other dispute resolution procedures.

UPDATES

Intentional Shift, LLC, (THE•IS | The Intentional Shift), operating at theISexperience.com, reserves the right to update or modify these Terms and Conditions at any time. Updates will be posted on the THE•IS  website or the Recess platform. Continued participation constitutes acceptance of any updated Terms.

AGREEMENT

By accessing or participating in any THE•IS  offering, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in full.
